Terms of Use and License Agreement \u2013 EntraSYSTEM4<\/h1>\n

These Terms of Use and License Conditions (hereinafter the \u201cTerms\u201d) govern the use and licensing of EntraSYSTEM4, an access control system offered by Entrya Technologies BV (hereinafter the \u201cProvider\u201d).<\/p>\n

By installing, activating, using, or accessing EntraSYSTEM4, the user or customer (hereinafter jointly the \u201cUser\u201d or \u201cCustomer\u201d) fully and unconditionally accepts these Terms.<\/p>\n

If the Customer accepts these Terms on behalf of a legal entity, the Customer declares that he\/she is authorized to legally bind such legal entity.<\/p>\n

These Terms are primarily intended for professional users. If the Customer is a consumer within the meaning of the Belgian Code of Economic Law, the mandatory consumer rights shall remain fully applicable.<\/p>\n

1. Definitions<\/h2>\n
    \n
  • EntraSYSTEM4:<\/strong>\u00a0the access control system, including software, applications, web portal, documentation, and any updates.<\/li>\n
  • Provider:<\/strong>\u00a0Entrya Technologies BV or an affiliated company.<\/li>\n
  • Customer:<\/strong>\u00a0any natural person or legal entity that purchases, activates, or uses EntraSYSTEM4.<\/li>\n
  • End User:<\/strong>\u00a0any natural person authorized by the Customer to use the system.<\/li>\n
  • Site:<\/strong>\u00a0one or more physical locations where the system is installed and jointly managed with a shared database for doors, users, and settings.<\/li>\n
  • Cloud:<\/strong>\u00a0the online infrastructure managed by the Provider where data is stored and processed.<\/li>\n<\/ul>\n
    \n

    2. Scope and Modes of Use<\/h2>\n

    2.1<\/strong>\u00a0These Terms apply to any use of EntraSYSTEM4, all offers, agreements, subscriptions, and services of the Provider, whether free or paid, regardless of the mode of use and regardless of the capacity of the user, and apply to both end users and professional customers, except where mandatory legal provisions provide otherwise.<\/p>\n

    2.2<\/strong>\u00a0Deviations from these Terms shall only be valid if confirmed in writing by the Provider. The Customer\u2019s general terms and conditions shall not apply, even if communicated at a later date.<\/p>\n

    2.3<\/strong>\u00a0EntraSYSTEM4 may be used in the following ways:<\/p>\n

    a) Basic mode (offline)<\/h3>\n
      \n
    • EntraSYSTEM4 functions as a standalone access control system.<\/li>\n
    • Access is granted via a keypad.<\/li>\n
    • Access codes are managed through the keypad or the ES4 app that connects directly to the system.<\/li>\n
    • The system operates without an internet connection.<\/li>\n<\/ul>\n

      b) Cloud mode (online)<\/h3>\n
        \n
      • EntraSYSTEM4 functions as a cloud-based access control system.<\/li>\n
      • Access may be granted via a keypad, the ES4 app, the ES4 web portal, and via SMS.<\/li>\n
      • Management takes place through the ES4 web portal and\/or the ES4 app.<\/li>\n
      • The system is connected to the internet.<\/li>\n<\/ul>\n
        \n

        3. Cloud Mode and Subscriptions<\/h2>\n

        3.1<\/strong>\u00a0Cloud Mode may be used:<\/p>\n

          \n
        • without a subscription (Free);<\/li>\n
        • with a subscription (Lite or Pro).<\/li>\n<\/ul>\n

          3.2<\/strong>\u00a0Subscriptions are:<\/p>\n

            \n
          • annual;<\/li>\n
          • per Site;<\/li>\n
          • non-transferable (including to another Site).<\/li>\n<\/ul>\n

            3.3<\/strong>\u00a0Functionalities differ depending on the subscription type and are described on the Provider\u2019s website.<\/p>\n

            3.4<\/strong>\u00a0The Provider reserves the right to modify functionalities, adjust subscription plans, change prices, or add, limit, or discontinue certain functionalities. Price changes for paid subscriptions shall only apply from a new subscription period onward.<\/p>\n

            \n

            4. License<\/h2>\n

            4.1<\/strong>\u00a0The Provider grants the Customer a limited, non-exclusive, non-transferable, and non-sublicensable license to use EntraSYSTEM4 in accordance with these Terms.<\/p>\n

            4.2<\/strong>\u00a0The license grants no ownership rights and applies solely to internal use on the agreed Site(s). It may furthermore be restricted, suspended, or terminated by the Provider in accordance with these Terms.<\/p>\n

            4.3<\/strong>\u00a0The license for Basic Mode is granted for the duration of use of the system and, in Cloud Mode, for the duration of the active subscription.<\/p>\n

            4.4<\/strong>\u00a0All rights not expressly granted remain reserved by the Provider.<\/p>\n

            \n

            5. Restrictions<\/h2>\n

            It is prohibited to:<\/p>\n

              \n
            • copy, modify, sell, rent, translate, commercialize, or create derivative works of the software;<\/li>\n
            • apply reverse engineering, decompilation, or disassembly;<\/li>\n
            • use the system for unlawful, fraudulent, or safety-critical purposes;<\/li>\n
            • circumvent or test security measures without authorization;<\/li>\n
            • use malware, automated scripts, or harmful software;<\/li>\n
            • perform penetration tests or security audits without the Provider\u2019s prior written consent.<\/li>\n<\/ul>\n
              \n

              6. Intellectual Property<\/h2>\n

              All intellectual property rights relating to EntraSYSTEM4 remain the exclusive property of the Provider or its licensors. These Terms do not constitute any transfer of intellectual property rights.<\/p>\n

              \n

              7. Cloud, Data and Privacy<\/h2>\n

              7.1<\/strong>\u00a0In Cloud Mode, data is stored and processed within the cloud infrastructure managed by the Provider, hosted within the European Economic Area.<\/p>\n

              7.2<\/strong>\u00a0The Customer remains at all times the owner of and responsible for the data entered into or generated through EntraSYSTEM4, including but not limited to access rights, log data, user information, and configurations.<\/p>\n

              7.3<\/strong>\u00a0The Provider acts as a processor within the meaning of the General Data Protection Regulation (GDPR) and processes personal data solely on behalf of and for the account of the Customer.<\/p>\n

              7.4<\/strong>\u00a0The Provider takes appropriate technical and organizational measures to protect personal data and system data against loss, unauthorized access, or unlawful processing.<\/p>\n

              7.5<\/strong>\u00a0The Provider is entitled to use anonymized and aggregated data for statistical purposes, reporting, product improvement, security analysis, and research, provided such data cannot be traced back to an individual person or Customer.<\/p>\n

              7.6<\/strong>\u00a0The GDPR and Privacy Statement of Entrya Technologies form an integral part of these Terms.<\/p>\n

              \n

              8. Availability, Maintenance and Support<\/h2>\n

              8.1<\/strong>\u00a0The Provider shall make reasonable efforts to keep EntraSYSTEM4 operational and available, taking into account the state of the art.<\/p>\n

              8.2<\/strong>\u00a0In Cloud Mode, availability may depend on external factors such as internet connections, telecommunications operators, and third parties.<\/p>\n

              8.3<\/strong>\u00a0Planned maintenance may result in temporary interruptions. Where reasonably possible, the Provider shall announce such maintenance sufficiently in advance.<\/p>\n

              8.4<\/strong>\u00a0The Provider may perform corrective, preventive, or evolutionary maintenance, including updates, patches, and functional changes.<\/p>\n

              8.5<\/strong>\u00a0The Provider offers support within a reasonable period on business days during office hours, excluding weekends, public holidays, or collective leave periods.<\/p>\n

              8.6<\/strong>\u00a0The Provider reserves the right at all times to discontinue old or obsolete versions of EntraSYSTEM4, make updates mandatory, or declare hardware end-of-life (EOL).<\/p>\n

              \n

              9. Liability<\/h2>\n

              9.1<\/strong>\u00a0The Provider\u2019s obligations are obligations of means.<\/p>\n

              9.2<\/strong>\u00a0EntraSYSTEM4 is a supporting tool and absolute security cannot be guaranteed. It provides no guarantee of physical security, has no insurance function, nor does it constitute an alarm monitoring center.
              \nThe Provider cannot therefore be held liable for burglary, theft, unauthorized access, vandalism, hacking, or any other security incident, even if EntraSYSTEM4 is used correctly, nor can the Provider be held liable for errors, delays, malfunctions, data loss, unavailability, incidents, etc. arising from third-party services or infrastructure.
              \nThe Provider furthermore cannot guarantee that the system will operate without errors, interruption, or complete security.<\/p>\n

              9.3<\/strong>\u00a0The Provider shall in no event be liable for indirect damages, including but not limited to loss of profit, loss of revenue, loss of data, business interruption, or other consequential damages.<\/p>\n

              9.4<\/strong>\u00a0The Provider\u2019s total liability is limited to the amount paid by the Customer for the use of EntraSYSTEM4 during the twelve (12) months preceding the event giving rise to the damage.<\/p>\n

              9.5<\/strong>\u00a0If EntraSYSTEM4 is temporarily unavailable or non-operational due to planned maintenance, malfunctions, or unforeseen circumstances, provided such period is reasonable, no compensation shall be provided by the Provider.<\/p>\n

              \n

              10. Conditions of Use<\/h2>\n

              10.1<\/strong>\u00a0The Customer shall install and use EntraSYSTEM4 in accordance with the installation and usage conditions prescribed by the Provider. The Customer is solely responsible, including but not limited to:<\/p>\n
